Terms of Use

These Terms of Use (the "Terms") constitute a legally binding agreement between you
and YESWASCOE LLC governing your access to and use of pixlypost Services.

These Terms of Use (the "Terms") constitute a legally binding agreement between you and YESWASCOE LLC
("Yeswascoe," "we," "our," or "us") governing your access to and use of the pixlypost mobile application, the
pixlypost informational website at pixlypost.com, the pixlypost web application at app.pixlypost.com, and any
related services (collectively, the "Services").

Key Provisions Notice

These Terms include mandatory arbitration, a class action waiver, indemnification obligations, and limitations on our liability. You should review these provisions carefully, as they significantly affect your legal rights and the remedies available to you, before accessing or purchasing Services.

Intellectual Property Rights Notice

Yeswascoe takes the infringement of its intellectual property rights seriously and reserves all enforcement actions. All
content within the Services — including text, graphics, images, software, and other materials — belongs to
Yeswascoe, its affiliates, licensors, or related entities and is protected under U.S. and international copyright and
intellectual property law.

Information Disclaimer

Content within the Services is provided for informational purposes and may not suit individual circumstances.
Yeswascoe makes no representation that any feature, recommendation, or AI-generated suggestion is appropriate for
your specific use case. All recommendations are general and not tailored to particular individuals or businesses.

Accuracy and Liability Disclaimer

You rely on Service content entirely at your own risk. Yeswascoe makes no representation or warranty, express or
implied, and assumes no responsibility or legal liability for the accuracy, completeness, timeliness, or quality of any
information presented within the Services. We reserve sole discretion to withdraw or amend Services and materials
without notice.

Your Agreement to These Terms

By accessing the Services, creating an account, clicking an approval button (such as "I Agree," "Sign Up," or
"Continue"), or otherwise using the Services, you accept these Terms and our Privacy Policy, including any future
updates. If you do not agree, you must not access the Services, create an account, or make purchases.

We may modify these Terms at any time. Changes are effective immediately upon posting. You should review the
Terms and Privacy Policy on each visit. Your sole remedy if you become dissatisfied is to discontinue use of the
Services.

Eligibility

The Services are restricted to adults aged 18 or older. By accessing the Services, you represent and warrant that you
meet all eligibility requirements and are at least 18 years old.

Based in U.S.

Yeswascoe operates in the United States and makes no representation regarding the appropriateness or availability of
Service content outside U.S. locations. Users accessing from other jurisdictions do so at their own risk and are
responsible for complying with all applicable local laws and regulations. By submitting information through the
Services, you consent to the transfer and processing of that information in the U.S. The Services are not intended to
subject Yeswascoe to non-U.S. jurisdiction or law. If you believe you have additional rights under non-U.S. laws,
contact us using the information below.

License and Intellectual Property Ownership

Subject to your compliance with these Terms, Yeswascoe grants you a nonexclusive, personal, nontransferable,
revocable, and limited license to access and use the Services for your personal or business use. Yeswascoe does not
authorize you to represent affiliation with, representation of, or authority to act on Yeswascoe's behalf.

All Service materials — including design, text, graphics, information, trademarks, service marks, photographs,
testimonials, videos, and content — belong to Yeswascoe, its affiliates, parent companies, related entities, or third-
party licensors, and are protected under U.S. and international copyright and intellectual property law. Yeswascoe
actively exercises available remedies to protect its intellectual property and to terminate infringing conduct.

You may use Service materials solely for your personal or business use. You must retain all copyright, trademark, and
proprietary notices and may not distribute or share copies with third parties except as expressly permitted by the
Service's intended functionality (such as publishing your own content to social media platforms you have connected).
You may not post, share, transmit, distribute, publish, copy, display, or permit third parties to do so on other websites,
mobile applications, internet accounts, social media accounts, or online platforms beyond what the Services explicitly
enable. You may not modify Service materials; any acquired modification rights automatically transfer to Yeswascoe.

You may not reproduce, publicly display, perform, or distribute Service materials for public or commercial purposes
beyond your own use of the Services as intended, and you may not permit third parties to do so. You may not remove,
obscure, or deface proprietary notices, including copyright, trademark, or intellectual property notices.

Yeswascoe retains all right, title, and interest in the Services, including all content, software, and intellectual property
rights — copyright, trademark, patent, and trade secret rights. No ownership interest transfers to you through your use
of the Services.

Trademarks, trade names, service marks, and logos — including "pixlypost" and "YESWASCOE LLC" — are
Yeswascoe's, its affiliates', related entities', or third parties' registered or unregistered marks. These Terms grant no
license or right to use these marks without our written permission.

Your Content

You retain ownership of the photographs, captions, and other content you upload, create, or contribute through the
Services ("Your Content"). By using the Services to publish or schedule Your Content for publication on connected
social media platforms, you grant Yeswascoe a limited, worldwide, royalty-free license to host, store, transmit, modify
(for technical purposes such as resizing or format conversion), and publish Your Content solely as needed to provide
the Services to you. This license terminates when you delete Your Content from the Services or close your account,
except to the extent we are required to retain it under applicable law or for legitimate business purposes such as fraud
prevention.

You represent and warrant that:

 

You own Your Content or have all necessary rights to upload and publish it

 

Your Content does not infringe any third party's intellectual property, privacy, or other rights

 

Your Content does not violate any applicable law

You are solely responsible for Your Content. Yeswascoe does not pre-screen Your Content but may remove or refuse
to publish content that, in our sole discretion, violates these Terms, infringes third-party rights, threatens user or
public safety, or creates liability for Yeswascoe.

Restrictions on App and Website Use

You agree not to use the Services in ways prohibited by these Terms. Specifically, you agree that you will:

 

Not misrepresent your identity, impersonate any person or entity, or provide false information

 

Not attempt to access any portion of the Services not granted to you

 

Not interfere with the Services' operation or other users' access

 

Not violate or enable violation of these Terms

 

Not violate any applicable laws or regulations

 

Not modify, adapt, sublicense, translate, sell, reverse engineer, decompile, or disassemble any portion of the
Services

You may not, directly or indirectly, and may not permit others to:

 

Reproduce, modify, adapt, translate, create derivative works, or exploit the Services

 

Rent, lease, lend, sell, license, sublicense, assign, distribute, publish, transfer, or otherwise make the Services
available to third parties

 

Reverse engineer, disassemble, decompile, decode, adapt, or derive access to software components

 

Remove proprietary notices

 

Use the Services in ways that infringe intellectual property or other rights

You must not transmit viruses, worms, Trojan horses, time bombs, or other harmful or malicious code, files, or
programs through the Services; use devices, software, or routines that interfere with the Services; interfere with,
damage, or disrupt any part of the Services or connected systems; use automated devices, processes, or means to
access the Services for monitoring or copying purposes; or attempt to interfere with proper Service operation.

We reserve the right to terminate access to any or all Service features at any time for any reason. We may take
appropriate legal action, including law enforcement referral or legal counsel consultation, for illegal or unauthorized
Service use.

Accessing the Services and Account Responsibilities

We may periodically restrict access to portions of the Services and make no uptime or availability representations or
guarantees.

You are responsible for arranging the necessary access to the Services and ensuring that all persons accessing the
Services through your internet connection know and comply with these Terms.

We may block, limit, or terminate Service access if:

 

You violate these Terms

 

You violate applicable laws or regulations

 

You engage in conduct we deem offensive, harmful, defamatory, or otherwise harmful

 

You breach other Yeswascoe agreements

Account credentials are personal and must not be shared with third parties. You are responsible for maintaining the
confidentiality of your account and password and accepting responsibility for all activities under your account. If you
suspect unauthorized access, you must immediately change your password and inform us using the contact
information below. We reserve the right to refuse service, terminate accounts or credentials, or remove or edit content
at any time with or without notice.

Connected Social Media Accounts

The Services allow you to connect third-party social media accounts (such as Facebook, Instagram, LinkedIn, X, and
TikTok) for the purpose of publishing your content to those platforms. By connecting an account, you authorize
Yeswascoe to access and act on that account on your behalf within the scope of permissions you grant during the
connection process.

You are solely responsible for:

 

Compliance with each platform's terms of service and community guidelines

 

Any consequences of content you publish through the Services to those platforms

 

The accuracy and lawfulness of credentials and authorization tokens you provide

We do not control third-party platforms and are not responsible for changes to their APIs, policies, or operation that
may affect the Services. We may suspend or remove platform integrations at any time. You may disconnect any
account at any time through the Services' settings.

AI-Generated Content

The Services may use generative AI models (including, without limitation, Google's Gemini family of models) to
suggest captions or analyze your photos to provide content recommendations. AI-generated content:

 

Is provided as a suggestion only and may contain errors, inaccuracies, or content that is inappropriate for your
audience

 

Should be reviewed by you before publishing

 

May be retained, processed, or improved upon by the underlying AI provider in accordance with that provider's
terms

You are solely responsible for content you choose to publish, whether human-authored or AI-generated.

No Endorsement of Third-Party Providers

The Services may feature contributions or content from unaffiliated third-party services or providers. Yeswascoe does
not investigate or verify third-party information. We are not responsible for your relationships with third-party
providers. Although the Services may include third-party content or comments, Yeswascoe does not endorse them.
We will not be liable for direct, indirect, special, or consequential damages arising from reliance on third-party
information.

Your Comments, Postings, and Ideas

The Services may permit feedback, comments, ideas, or similar submissions. Submissions are considered non-
personal, non-confidential, and non-proprietary (except for personal information as defined in the Privacy Policy). You
are solely responsible for content you transmit or post, and Yeswascoe assumes no responsibility for user-submitted
content. You agree your postings reflect only your own truthful experience. You will not impersonate any person or
use false identities. You will not send communications or content that infringes any party's rights.

By transmitting ideas, information, concepts, know-how, techniques, or materials to Yeswascoe, you grant a
perpetual, unrestricted, sublicensable, assignable, worldwide, royalty-free, irrevocable license to use, reproduce,
display, perform, modify, transmit, create derivative or collective works, and distribute them in any medium, and agree
we are free to use them for any purpose.

We may remove or refuse to post contributions for any reason in our sole discretion. We may disclose your identity or
information regarding any contribution we deem necessary, including if the contribution violates these Terms,
infringes intellectual property or other rights, threatens user or public safety, or creates liability for Yeswascoe.

Links to Other Websites

The Services may contain links to non-Yeswascoe websites, including social media platforms. Links are provided for
convenience and do not imply endorsement. We do not control these websites and are not responsible for their
content. You access third-party websites at your own risk and should read their privacy policies and terms before
using them.

Membership and Subscriptions

The Services may offer paid memberships, subscriptions, or one-time purchases (each, an "Order"). Yeswascoe
reserves the right to refuse any Order. We may limit or cancel quantities per person, business, or household. These
restrictions apply to same-account, same-payment-method, or same-billing-address Orders. If we change or cancel
an Order, we will attempt to notify you using the email or billing contact information provided. We reserve the right to
limit or prohibit Orders that appear to be from competing businesses, resellers, or organizations using content in
violation of these Terms.

Payment is due before content access is provided. The Order total includes processing fees and taxes shown at the
time of submission. Order-related fees are non-refundable.

We reserve the right to modify or discontinue features, content, or any portion of the Services temporarily or
permanently with or without notice. We may develop and provide Service updates — upgrades, bug fixes, patches,
error corrections, and new features (collectively, including related documentation, "Updates"). Updates may modify or
delete features. You agree we have no obligation to provide Updates or to continue providing any particular feature or
functionality.

Prices are subject to change upon notice. Notice may occur through the Services or by contacting you using the
contact information on file. We reserve the right to revoke offers and correct errors, inaccuracies, or omissions after
Order submission, whether or not the Order has been confirmed or payment charged. We are not liable for content
modification, price change, suspension, or discontinuance.

We provide content access in our sole discretion in the form and format we choose. Due to licensing restrictions, we
reserve the right to remove, modify, or replace specific content (text, images, photographs, videos) without notice or
user liability.

Payments

Payment for paid Services may require you to supply relevant information, including credit or payment card numbers
and expiration dates, billing addresses, and similar payment information. You represent and warrant that you have the
right to use any submitted payment method and possess all authority necessary to make payments. By submitting
such information, you grant us the right to provide it to third parties for payment facilitation. We are not responsible for
how third-party payment processors transmit, store, use, or share information.

For purchases made through the Apple App Store or Google Play, payment is processed by Apple or Google in
accordance with their respective terms. Refunds for in-app purchases are subject to those platforms' policies.

Subscription Cancellation

For subscriptions, you may provide a cancellation notice at any time. Cancellation takes effect on the next billing
period's first day, and you retain access through the end of your current billing period. Pre-paid fees are non-
refundable. We do not provide partial refunds for portions of billing periods, even when cancellation occurs mid-
period.

Example: If you sign up for a monthly subscription on June 25 and cancel any time before July 25, you retain access
through July 25 and are not charged again. If you cancel after the July 25 billing date, you retain access through
August 25, and we do not refund any portion of that period.

Yearly subscriptions are paid in advance and are non-refundable. We do not provide partial refunds for unused
months.

For purchases made through the Apple App Store or Google Play, you must manage subscription renewals and
cancellations through your Apple ID or Google account settings.

Security

We take reasonable measures to protect your information but cannot guarantee absolute security. Third parties may
potentially intrude on servers and view information, or view in-transit information via internet, email, or other channels.
By submitting information to us, you acknowledge these risks. If you choose not to submit information electronically,
you cannot use the full functionality of the Services. You agree we are not responsible for illegal third-party acts,
including hacking or similar crimes.

Communicating with You

You agree we may communicate with you through any contact information or method you have provided, including
text message, email, telephone, social media account, fax, and postal mail.

Disclaimer of Warranties, Indemnification, and Limitation of Liability

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND.
All access to the Services is voluntary and at your sole risk. Yeswascoe assumes no responsibility and is not liable for
damages or computer viruses that infect your devices, telecommunications equipment, or property arising from
access to, use of, or download from the Services.

You agree to

DEFEND, INDEMNIFY, AND HOLD HARMLESS YESWASCOE, OUR VENDORS AND ADVERTISERS, AND

OUR AND THEIR SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS

 from all claims,

demands, damages, liabilities, judgments, and settlements arising from your breach of these Terms, your use or
misuse of the Services, or your violation of applicable law. Your sole remedy if you become dissatisfied is to
discontinue use of the Services.

YESWASCOE DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED
WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

 We do

not represent or warrant the Services will be available at particular times or locations or that operation will be
uninterrupted or error-free. We do not represent or warrant that the Services are virus-, worm-, or contaminating-
code-free. You should install, update, and run anti-virus programs to protect yourself. We do not warrant the validity,
accuracy, currency, reliability, or use-results of information in the Services.

SOME JURISDICTIONS DO NOT PERMIT THE EXCLUSION OF CERTAIN WARRANTIES, so these exclusions may not
apply to you.

UNDER NO CIRCUMSTANCES WILL YESWASCOE, ITS AFFILIATES, OR ANY OF THEIR RESPECTIVE DIRECTORS,
OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DIRECT OR INDIRECT LOSSES OR DAMAGES

 arising from

use of, or inability to use, the Services or reliance on information within them.

THIS IS A COMPREHENSIVE

LIMITATION OF LIABILITY THAT APPLIES TO ALL LOSSES AND DAMAGES OF ANY KIND, WHETHER DIRECT OR
INDIRECT, GENERAL, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR OTHERWISE, ARISING UNDER
ANY THEORY OF LAW, STATUTE, REGULATION, OR RULE, INCLUDING WITHOUT LIMITATION LOSS OF DATA,
ACCESS, REVENUE OR PROFITS, OR PERSONAL INJURY OR WRONGFUL DEATH.

The limitation applies whether liability is based on contract, negligence, tort, strict liability, or any other theory, and
even if Yeswascoe representatives were advised of damage possibility. The parties agree this limitation is an essential
element of the bargain. Limitations apply even if any limited remedy fails its essential purpose.

Some states disallow the above liability limitation, so it may not apply to you. If any portion of the limitation is found
invalid or unenforceable, our aggregate liability for otherwise-limited liabilities will not exceed the greater of: (i) $100,
or (ii) the fees you paid to Yeswascoe in the twelve preceding months.

Arbitration

Any dispute or claim ("Claim") arising from or relating to these Terms or your use of the Services shall be resolved by
a single impartial arbitrator under the Washington State Arbitration Statutes. Claims must be brought solely by the
individual user or business, not as part of any class or as a class representative.

Arbitration shall occur in Benton or Franklin County, Washington. All submissions, proceedings, and awards are
confidential. Arbitration shall be expedited with minimal discovery. Arbitrator awards are final and binding.

Governing Law and Statute of Limitations

Claims related to the Services and your use are governed by the laws of the State of Washington, without giving effect
to any choice or conflict of law provision or rule.

For arbitration award enforcement, or if arbitration is not permitted or required, you submit to the personal jurisdiction
of Washington State courts, which have exclusive jurisdiction over actions arising from the Services. Claims must be
instituted exclusively in Benton or Franklin County state courts, though Yeswascoe retains the right to bring suits in
your country of residence or other relevant jurisdictions. You waive all objections to jurisdiction and venue.

Before seeking legal remedies for harm arising from use of the Services, you agree to inform Yeswascoe in writing
and give us thirty (30) days to remedy before initiating any action. You must commence any cause of action within
one (1) year after the claim arises, or you forfeit the right to pursue it.

No Class Actions

You agree to bring any claims or causes of action arising from or related to these Terms, the Services, or any disputes
with Yeswascoe in your individual capacity, not as a member or representative of any class or collective action.

General

You may not assign your rights or obligations without our prior written consent. We may assign part or all of these
Terms. Sections designed to survive expiration or termination will survive. No waiver of any term will be deemed a
further or continuing waiver. These Terms, together with the Privacy Policy and any consent forms, constitute the
entire agreement between you and Yeswascoe, superseding any other agreement on this subject matter. If any
provision is unenforceable, it shall be modified minimally to be enforceable, or if that is impossible, severed, while
other provisions remain fully effective.

Copyright Policy

Yeswascoe takes copyright infringement claims seriously and responds to notices that comply with applicable law. If
you believe Service materials infringe your copyright, you may request removal by submitting a written notification to
our designated copyright agent. Under the Online Copyright Infringement Liability Limitation Act of the Digital
Millennium Copyright Act (17 U.S.C. § 512) ("DMCA"), the written notice (the "DMCA Notice") must include
substantially the following:

 

Your physical or electronic signature

 

Identification of the copyrighted work believed infringed (or, for multiple works, a representative list)

 

Identification of the infringing material in sufficient detail for us to locate it

 

Your contact information — name, postal address, telephone number, and email address

 

A statement that you have a good-faith belief that the use is not authorized by the copyright owner, agent, or law

 

A statement that the information in the notice is accurate

 

A statement, under penalty of perjury, that you are authorized to act on the copyright owner's behalf

Failure to comply with all Section 512(c)(3) DMCA requirements may invalidate your DMCA Notice. Knowingly
materially misrepresenting that material or activity is infringing may subject you to damages — including costs and
attorneys' fees — under DMCA Section 512(f).

We will appropriately disable or terminate the accounts of repeat infringers.

If you believe materials were mistakenly removed or access was disabled through misidentification, you may file a
Counter Notice with our copyright agent. Under the DMCA, Counter Notices must include substantially the following:

 

Your physical or electronic signature

 

Identification of the removed material and the location where it appeared before removal

 

Your contact information — name, postal address, telephone number, and email address

 

A statement under penalty of perjury that you have a good-faith belief that the material was removed or access
disabled through mistake or misidentification

 

A statement consenting to the jurisdiction of the Federal District Court for the judicial district where your address is
located (or any district where the Services may be found if your address is outside the U.S.) and to service from
the person who provided the original notice

Under the DMCA, we may restore removed content if the original notice party does not file a court action against you
within ten business days of receiving a copy of your Counter Notice.

Knowingly materially misrepresenting that material was removed or disabled through mistake or misidentification may
subject you to damages — including costs and attorneys' fees — under DMCA Section 512(f).
